1Parties and what Outpost is

This Provider Network Agreement (the “Agreement”) is between Outpost Limited (“Outpost”, “we”, “us”) and you, the professional or firm applying to list on and receive introductions through the Outpost network (the “Provider”, “you”).

Outpost operates a listing and introduction platform only. We help international property buyers discover and connect with independent local professionals. We are not a party to any engagement between you and a buyer; we are not your agent, employer, partner, representative or joint venturer; and we are not a law firm, real-estate agency, valuer or financial adviser. We do not provide legal, tax, financial or valuation advice or any regulated service.

No money for your services flows through Outpost. You invoice and are paid by the buyer directly. Outpost never holds, transmits or takes a percentage of the fees you charge a buyer.

2Eligibility and your declarations

By applying and by listing, you represent and warrant, on the date you apply and continuously while you remain listed, that:

  • you hold, and will maintain, every licence, registration, bar/chamber membership or authorisation required to provide your services lawfully in each market you list in, with the regulator you have named;
  • you hold, and will maintain, professional indemnity (or equivalent professional liability) insurance appropriate to your profession and jurisdiction;
  • you are not subject to any current disqualification, suspension, striking-off, or unresolved disciplinary or criminal proceeding that affects your right to practise;
  • you have full authority to enter into this Agreement and to provide the services you list;
  • all information you provide — credentials, regulator, licence number, scope, prices, coverage and contact details — is accurate, not misleading, and kept up to date; and
  • you will comply with all applicable laws and with the professional, ethical and advertising rules of your regulator in every market you serve.

You will notify us promptly if any of the above ceases to be true — in particular any loss, suspension or condition on your licence or insurance.

3Your services and your relationship with the buyer

Any services you provide are supplied by you directly to the buyer under a separate engagement or retainer agreed between you and the buyer. You alone are responsible for those services — their scope, quality, timeliness, legality, regulatory compliance and outcome. You set your own fees and terms with the buyer.

Outpost gives no warranty about, and accepts no responsibility or liability for, the services you provide, any advice you give, or any dispute between you and a buyer. The buyer's contract for the work is with you, not with Outpost.

4Introductions and matching

Outpost may display your listing to buyers and may pass you a buyer's request or quote invitation. An introduction is not an endorsement, recommendation or guarantee of the buyer, and does not create any obligation on you until you choose to accept it.

We do not guarantee any number of introductions, matches, quotes, accepted engagements or revenue. Once you accept an introduction and engage with a buyer, the resulting contract is directly between you and that buyer.

5Fees

You pay Outpost only the flat listing, membership and/or per-accepted-match fees set out in the plan or pricing you select. Outpost takes no percentage of what you charge the buyer and does not handle buyer funds. Fees to Outpost are exclusive of any applicable taxes, which are your responsibility, and are non-refundable except where expressly stated or required by law.

You agree not to use the platform to obtain an introduction and then deliberately route that specific engagement off-platform in bad faith to avoid a match fee that would otherwise apply. This does not restrict your ordinary right to work with any client by any means.

6Verification is not a guarantee

We may carry out light checks — for example asking for a copy of your licence and a link to the public register — to reduce obvious risk. These checks are not a guarantee, certification or endorsement of you, your credentials or your work, and buyers are told to verify independently. We are not liable to you or any buyer for reliance placed on a listing.

7Data protection

When Outpost shares a buyer's contact or request with you, you and Outpost each act as an independent controller of the personal data you respectively process. You will process any buyer personal data you receive lawfully and only for the purpose of the engagement, in accordance with all applicable data-protection law (including the UK GDPR, EU GDPR and Türkiye's KVKK as relevant), keep it secure, and not use it for unrelated marketing without a lawful basis. You will indemnify Outpost for losses arising from your breach of data-protection law.

8Ratings, complaints and conduct

You agree to Outpost's ratings and complaints process and to act professionally and honestly on the platform. We may investigate complaints and, at our reasonable discretion, issue warnings, restrict, suspend or remove your listing. You will not create, solicit or manipulate fake reviews or ratings, and you will not misrepresent your relationship with Outpost (for example, you must not describe yourself as Outpost's agent, partner or employee).

9Intellectual property

You grant Outpost a non-exclusive, worldwide, royalty-free licence to host, display and use the content and marks you submit (your firm name, logo, bio, service and price information) for the purpose of operating and promoting the network. You confirm you have the right to grant this licence. Outpost owns all intellectual property in the platform itself; nothing here transfers it to you.

10Indemnity

You will indemnify and hold Outpost harmless against any claim, loss, liability, cost or expense arising from: (a) the services you provide or fail to provide to a buyer; (b) your breach of this Agreement or of the declarations in clause 2; (c) any misrepresentation by you; (d) your infringement of a third party's intellectual-property or data-protection rights; or (e) your breach of any law or professional rule.

11Limitation of liability

To the fullest extent permitted by law, Outpost is not liable to you for any loss of profit, revenue, buyers, business, goodwill or anticipated savings, or for any indirect or consequential loss. Outpost's total aggregate liability to you under or in connection with this Agreement is limited to the total fees you paid to Outpost in the twelve months before the event giving rise to the claim.

Nothing in this Agreement limits or excludes any liability that cannot lawfully be limited or excluded — including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

12Suspension and termination

Either party may terminate this Agreement at any time on written notice. We may suspend or remove your listing immediately if you breach this Agreement, if a complaint or risk warrants it, if you lose a required licence or your insurance lapses, or to protect buyers or the reputation of the network. On termination your listing is removed; clauses that by their nature should survive (including 2 (declarations, for the period they applied), 3, 6, 7, 10, 11 and 13) continue to apply.

13General

Independent advice. This Agreement is provided by Outpost and is not legal advice to you; you should take your own professional advice before accepting it.

Changes. We may update this Agreement. Material changes will be notified to listed providers by email or a prominent notice, and continued listing after the stated date is acceptance of the updated terms.

Independent parties. Nothing in this Agreement creates a partnership, agency, employment or joint venture between you and Outpost. Neither party may bind the other.

Governing law. This Agreement is governed by the laws of England and Wales and the parties submit to the courts of England and Wales, without prejudice to any mandatory consumer or professional-conduct rules that apply to you in your own market. [To be confirmed per market on legal review.]

14Acceptance

By ticking the acceptance box on the application form, or by continuing to list on the network, you confirm that you have read, understood and agree to be bound by this Agreement, and that the declarations in clause 2 are true.
